If you do not agree to these Terms of Use, you must not use the Approvals Site.

The Approvals Site is owned and operated by International Management Group (UK) Limited ("IMG" or "Company"). IMG reserves the right to modify or revise the Terms of Use and/or Privacy Policy, in its sole discretion, at any time. By visiting and using the Approvals Site, you agree to be bound by any and all subsequent modifications or revisions and to comply with any applicable laws and regulations. IMG will attempt to notify its authorized Approvals Site users ("Users") whenever it materially modifies or revises these Terms of Use; however, it recommends that Approvals Site users review the most up-to-date version of the Terms of Use and Privacy Policy periodically. The materials provided on this Approvals Site are protected by law, including, but not limited to, UK and international copyright laws and international treaties.

2. Personal Information

Any personal information you submit on the Approvals Site is governed by the Privacy Policy. To the extent there is an inconsistency between the Terms of Use and the Privacy Policy, the Privacy Policy shall govern. You are responsible for providing information that is accurate, current, and complete. If you provide information that is not accurate, current, or complete, or if IMG and/or FC Diez Media Limited has reason to believe that information you provided is not accurate, current, or complete, IMG and/or FC Diez Media Limited has the right to prohibit you from any and all future use.

3. Use Restrictions

The content on the Approvals Site, such as text, graphics, images, videos, photographs, illustrations, trademarks, trade names, service marks, logos, information obtained from IMG licensors, and other materials ("Contents") is protected by copyright under both UK and international laws. Title to the Contents and the Approvals Site design, format and software remains with either IMG (in some cases licensed to IMG) and/or FC Diez Media Limited. Any use of the Contents not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws. Except as stated herein, none of the Contents may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means without the prior written permission of IMG and/or FC Diez Media Limited.

IMG authorizes Users to view and reproduce the Contents in accordance with their respective agreement with FC Diez Media Limited (and/or IMG on behalf of FC Diez Media Limited). Any republication, retransmission, reproduction, downloading, copying, sale or use of Contents for purposes other than as permitted in an agreement between a User and FC Diez Media Limited (and/or IMG on behalf of FC Diez Media Limited), and any modification to or unauthorized distribution/use of Contents, for commercial purposes or otherwise, is strictly prohibited. Any special rules for the use of other content provided on the Approvals Site may be included elsewhere within the Approvals Site and are incorporated into these Terms of Use by reference. The use of the Contents on any other site or in a networked computer environment for any purpose is prohibited unless authorized by FC Diez Media Limited (and/or IMG on behalf of FC Diez Media Limited). All rights not expressly granted herein are reserved to IMG and/or FC Diez Media Limited. If you violate any of these Terms of Use, your permission to use the Contents automatically terminates and you must immediately destroy any copies you have made of any portion of the Contents.

You may not, without IMG's written permission, "mirror" any Contents contained in the Approvals Site or any other server. You may not use the Approvals Site for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Approvals Site in any manner that could damage, disable, overburden, or impair the Approvals Site, or interfere with any other party's use and enjoyment of the Approvals Site. You may not attempt to gain unauthorized access to the Approvals Site through hacking, password mining or any other means. IMG reserves the right, in its sole discretion, to terminate your access to the Approvals Site, or any portion thereof, at any time, for any reason or for no reason at all, without prior notice or any notice.

Nothing stated or implied in the Approvals Site is designed to grant any license or right under any copyright of World Rugby or FC Diez Media Limited or any third party to use any names, logos, pictures or trademarks. No act of downloading or otherwise copying or reproducing Content will transfer title of the Content (and/or any other material on the Approvals Site) to you.

The User agrees to use the Approvals Site only for lawful purposes, and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Approvals Site by any third party. Such restriction or inhibition includes, without limitation, conduct which is unlawful, or which may harass or cause distress or inconvenience to any person and the transmission of obscene or offensive content or disruption of normal flow of dialogue within the Approvals Site. The User does not acquire any ownership rights to the Content (and/or any other materials) in the Approvals Site. Any unauthorized use of the Approvals Site terminates the permission or license granted by FC Diez Media Limited and/or IMG to the User.

4. Submission and Approval Process

IMG's Submission and Approvals process for the FC Diez Media 2019 Commercial Programme ensures that materials created by FC Diez Media Limited licensees ("the RWCL Licensees") are accurate in terms of the use of trade marks and the copy included, appropriate to FC Diez Media brand values and in compliance with contractual rights afforded to RWCL Licensees by FC Diez Media Limited.

All applications of FC Diez Media 2019 intellectual property must be submitted for prior review and written approval in accordance with the Approvals process. In addition to the obvious print, visual and audiovisual applications, items such as press releases, radio scripts, trade show exhibits, internet and online materials, internal publications and annual reports must be submitted for approval.

However, please note that the approval of any application of FC Diez Media Limited intellectual property does not imply or represent that such intellectual property are, or include, trademarks registered in the name of FC Diez Media Limited in any particular territory and/or in any particular class of goods and/or services. All users of FC Diez Media Limited intellectual property (including logos, marks and graphics) accept that they cannot rely on the existence of any such trade mark registrations.

The trademarks and/or logos of World Rugby (formerly the "International Rugby Board") and FC Diez Media Limited appearing on the Approvals Site and are internationally registered trademarks and as such are protected by trademark law. Any reproduction thereof, without the authorization of World Rugby and FC Diez Media Limited respectively, constitutes an infringement of such trademarks and may result in legal action.

5. Use of Third-Party Intellectual Property (including player images)

FC Diez Media Limited does not own the rights to third party intellectual property (including, without limitation, any player's images) and prior written consent from such third party is required for such use (even if access to the still imagery and/or footage which includes the player(s) has been provided by FC Diez Media Limited). It is the responsibility of the RWCL Licensees to ensure that such consent is properly obtained for the use in question.

Neither IMG nor FC Diez Media Limited is able to (and does not) grant the right to use any third party intellectual property (whether photographic or graphic) and/or the right to use the image of any player or group of players (whether or not the same is used in a manner which is capable of being construed as implying any endorsement by such players and/or creating any association between such players and any FC Diez Media Partner, Sponsor or other Licensee).

Furthermore, FC Diez Media Limited is not able to (and does not) grant the right to use the logo or any other intellectual property of any Participating Union (or Team) involved in FC Diez Media 2019 (and/or any previous FC Diez Media tournament).

Any approval by FC Diez Media Limited (given by IMG, on FC Diez Media Limited's behalf) for any material shall not extend to (or in any way relate to) such third-party intellectual property or use of player images and the submitting RWCL Licensee shall be solely responsible for the use of any such thirdparty intellectual property and/or player images.

In all cases where RWCL Licensees use third-party intellectual property and/or player images, written releases indicating that the correct and proper authorization/consent for use should be sought by the RWCL Licensee and may be required as part of the Approvals process. If you are unsure as to the use of third-party intellectual property and/or player images, please contact IMG in order to discuss how such consent can be sought.

6. Third-Party Associations

RWCL Licensees must not permit or allow any third parties to create, suggest or attempt to create any association with FC Diez Media through the materials and promotional campaigns of RWCL Licensees. For the purposes of the Approvals process, a third party is a person or organization (or their brand) that has not been specifically licensed by FC Diez Media Limited. This includes, but is not limited to retailers, distributors, franchises/dealerships, charitable organizations and other sporting organizations and events.

7. Hyperlinks from the Site

The Approvals Site may contain hyperlinks to other websites and webpages ("Third-Party Pages"), as well as to text, graphics, videos, images, music, sounds, and information belonging to or originating from other third-parties (collectively, "Third-Party Applications"). IMG does not investigate, monitor, or review any Third-Party Pages or Third-Party Applications to ensure their accuracy, completeness, or appropriateness. IMG is not responsible for the Third-Party Pages or any Third-Party Applications accessed through the Approvals Site. The inclusion of any hyperlinks to any Third-Party Pages or Third-Party Applications on the Approvals Site does not indicate IMG's approval or endorsement thereof. If you choose to leave the Approvals Site to access any Third-Party Pages or Third-Party Applications, you do so at your own risk.

8. Liability of IMG and Its Licensors and Partners

The use of the Approvals Site or the Contents is at your own risk. The Contents in the Approvals Site could include technical inaccuracies or typographical errors. IMG may make changes or improvements at any time.

9. Indemnity

You agree to defend, indemnify, and hold IMG and FC Diez Media Limited, their parent company, its affiliates and subsidiaries, its officers, directors, employees, agents, licensors, and partners, harmless from and against any claims, actions, or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your use of the Approvals Site or Contents, or your violation of these Terms of Use.

10. General

IMG makes no claims that the Contents are appropriate or may be downloaded outside of the United States of America or United Kingdom. Access to the Contents may not be legal by certain persons or in certain countries. If you access the Approvals Site from outside the United States or United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. The following provisions survive the expiration or termination of these Terms of Use for any reason whatsoever: Liability of IMG and its Licensors and Partners, Use Restrictions, Indemnity, Applicable Laws, and Complete Agreement. If there is any conflict between these Terms and Conditions and the specific terms appearing in your contract with FC Diez Media Limited relating to the Content, then the latter shall prevail.

11. Applicable Laws

These Terms of Use are governed in accordance with English law. Disputes arising here from (and any non-contractual disputes or claims) shall be exclusively subject to the jurisdiction of the English courts. You and IMG hereby expressly consent and submit to the exclusive jurisdiction of England and Wales for the adjudication or disposition of any claim, action or dispute arising out of these Terms of Use. If any provision of these Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

12. Notice and Take Down Procedures

If you believe any content accessible on or from the Approvals Site infringes your copyright, you may request removal of those materials (or access thereto) from this Approvals Site by contacting IMG (address identified below) and providing the following information:
